About the Corporate, Commercial and M&A Summit
Achromic Point is a New Delhi-based organiser of business conferences, summits and training programmes for legal, finance and corporate professionals. Its Corporate, Commercial and M&A Summit and Awards is held in editions in New Delhi and Mumbai.
Who it brings together. The summit draws industry leaders, investors, in-house counsel, advisers and decision-makers involved in deals and corporate strategy.

Corporate and commercial advice. The firm advises Indian companies, start-ups and multinational corporations doing business in India on corporate structuring, commercial contracts, joint ventures, licensing and franchising, and regulatory compliance.

Valuation in Indian transactions
Valuation plays a defined legal role in Indian corporate transactions. Under Section 247 of the Companies Act, 2013, valuations required by the Act, for example in certain share allotments, mergers and schemes of arrangement, must be carried out by registered valuers, who are registered with the Insolvency and Bankruptcy Board of India. Cross-border share transfers and investments must follow pricing guidelines under India’s foreign exchange rules, and income tax rules prescribe methods for valuing unlisted shares.
Intangible assets add a further layer. Trademarks, patents, copyright and trade secrets can carry much of a company’s value, so their ownership, validity, encumbrances and licences need to be verified before a deal is priced. Legal advisers work alongside registered valuers and financial advisers to make sure the value attributed to those assets is supported by clean and enforceable rights.
