The Zee-Sony merger: Rupin Chopra and Apalka Bareja traced the proposed merger of Zee Entertainment and Sony from the Competition Commission of India’s clearance, which followed voluntary remedies including divestment of some channels, to the creditors’ objections before the National Company Law Tribunal and its order approving the scheme in August 2023. The article was written before Sony terminated the merger agreement in January 2024.
Greenwashing: Vikrant Rana and Anuradha Gandhi set out the forms greenwashing takes, from hidden trade-offs and false eco-labels to vague and unsubstantiated claims, what drives it, the harm it causes to consumers and brands, and the tools available in India to tackle it.

Mergers and green claims: two areas businesses are watching
Merger control in India: Under Sections 5 and 6 of the Competition Act, 2002, combinations above prescribed asset and turnover thresholds must be notified to the Competition Commission of India before they close. The Competition (Amendment) Act, 2023 added a deal value threshold, so that large transactions involving targets with substantial business operations in India are caught even where asset and turnover tests are not met. As the Zee-Sony case showed, voluntary remedies can address the Commission’s concerns at the first stage of review.
Green claims: Misleading environmental claims can be challenged as misleading advertisements under the Consumer Protection Act, 2019, and the Advertising Standards Council of India’s code requires environmental claims to be substantiated. Businesses making sustainability claims should be able to back them with evidence, use precise language, and avoid labels or certifications they cannot verify.
